Terms and Conditions

Effective Date: February 7, 2026

These Terms and Conditions (“Terms”) govern your access to and use of the Giao Gas delivery logistics platform (“Platform”), operated by Giao Gas (“Company”, “we”, “us”, or “our”). By accessing or using the Platform, you agree to be bound by these Terms.

1. Definitions

• “Platform” refers to the Giao Gas web application, mobile application, and all related services, including the Admin Portal and Customer Portal.
• “Business User” refers to any propane delivery business that registers for and uses the Platform to manage its operations.
• “End Customer” refers to customers of a Business User who interact with the Platform to place orders or track deliveries.
• “User” refers to any individual or entity accessing the Platform, including Business Users and End Customers.
• “Services” refers to delivery logistics management, customer management, accounting, order tracking, and all other features provided through the Platform.

2. Account Registration

2.1. To use the Platform, you must create an account and provide accurate, complete, and current information.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

2.4. You must promptly notify us of any unauthorized use of your account.

3. Use of the Platform

3.1. License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.

3.2. Acceptable Use. You agree to use the Platform only for lawful purposes related to propane delivery logistics operations. You shall not:

• Use the Platform for any illegal activity or in violation of any applicable Vietnamese law or regulation
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Interfere with or disrupt the Platform’s operation or security
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to transmit malware, viruses, or other harmful code
• Resell, sublicense, or redistribute access to the Platform without our written consent

3.3. Compliance with Laws. Business Users are solely responsible for compliance with all applicable laws and regulations governing propane storage, transportation, and delivery in Vietnam, including but not limited to safety regulations issued by the Ministry of Industry and Trade and local authorities.

4. Services and Features

4.1. Delivery Tracking. The Platform provides real-time delivery tracking. While we strive for accuracy, delivery times and status updates are estimates and may vary due to traffic, weather, or other conditions.

4.2. Customer Management. Business Users may store customer information, delivery history, and related records on the Platform. Business Users are responsible for the accuracy and lawful collection of all customer data they input.

4.3. Accounting and Invoicing. The Platform provides accounting and invoicing tools for convenience. These tools are not a substitute for professional accounting advice. Business Users are responsible for their own tax compliance and financial reporting obligations under Vietnamese law.

4.4. Data Accuracy. We provide tools to manage your business data but do not guarantee the accuracy of data input by users. You are responsible for verifying the correctness of all data, calculations, and reports generated by the Platform.

5. Fees and Payment

5.1. Access to certain features of the Platform may require payment of fees as described on our pricing page or in a separate agreement.

5.2. All fees are quoted in Vietnamese Dong (VND) unless otherwise stated.

5.3. We reserve the right to change our fees with 30 days’ prior written notice.

5.4. Failure to pay fees when due may result in suspension or termination of your access to the Platform.

6. Data Ownership and Intellectual Property

6.1. Your Data. You retain ownership of all data you input into the Platform (“Your Data”). You grant us a limited license to use Your Data solely for the purpose of providing the Services to you.

6.2. Our Property. The Platform, including its design, code, features, documentation, and branding, is the intellectual property of Giao Gas and is protected by Vietnamese and international intellectual property laws.

6.3. Data Portability. Upon request, we will provide you with an export of Your Data in a standard format within a reasonable timeframe.

7. Privacy

7.1. Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to the practices described therein.

7.2. Business Users are responsible for obtaining any necessary consents from their End Customers before entering personal data into the Platform.

8. Disclaimers

8.1. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

8.2. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

8.3. We are not responsible for the physical delivery of propane. Business Users are solely responsible for the safety, quality, and legality of their delivery operations.

9. Limitation of Liability

9.1. To the maximum extent permitted by Vietnamese law, our total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.

9.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Giao Gas, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

11. Termination

11.1. You may terminate your account at any time by contacting us.

11.2. We may suspend or terminate your access to the Platform at any time for violation of these Terms, with or without notice.

11.3. Upon termination, your right to use the Platform ceases immediately. We will retain Your Data for 30 days following termination, after which it may be deleted.

12. Governing Law and Dispute Resolution

12.1. These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

12.2. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the competent court in Ho Chi Minh City, Vietnam.

13. Changes to These Terms

13.1. We may update these Terms from time to time. We will notify you of material changes via email or through the Platform at least 15 days before they take effect.

13.2. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.

14. General Provisions

14.1. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.2. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Giao Gas regarding the Platform.

14.3. No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

14.4. Assignment. You may not assign your rights or obligations under these Terms without our prior written consent.
